Terms of Service

1. Acceptance of Terms

By accessing or using the Adpion platform ("Service"), operated by ADPION CO. LTD ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User", "Customer", "you") and the Company. By creating an account or placing any order, you confirm that you have read, understood, and accepted these Terms in their entirety.

2. Service Description

Adpion provides advertising account provisioning, top-up, and management services for digital advertising platforms including but not limited to Meta (Facebook), Google Ads, and TikTok. The Company acts as an authorized reseller and intermediary, facilitating access to advertising infrastructure through licensed media agency partnerships.

The Company does not own or operate the underlying advertising platforms. Service availability, account features, and platform policies are subject to the respective platform's own terms and conditions.

3. Account Registration & Eligibility

• You must be at least 18 years old and legally capable of entering into binding contracts.
• You must provide accurate, complete, and current information during registration.
• You are solely responsible for maintaining the confidentiality of your account credentials.
• You must not share your account with any third party. Any activity under your account is your responsibility.
• The Company reserves the right to refuse, suspend, or terminate any account at its sole discretion without prior notice.

4. Funding, Payments & Deposits

• All deposits are processed in USD or stablecoin equivalents (USDT, USDC) at rates determined by the Company.
• A service fee is applied to each deposit transaction. The current fee percentage is displayed in your dashboard and may be updated at any time.
• Deposits via cryptocurrency are subject to manual verification. The Company is not responsible for delays caused by blockchain congestion or incorrect wallet addresses.
• All deposits are final and non-refundable once credited to your account balance, except as expressly stated in Section 7.
• Funds in your account balance are not interchangeable with cash and carry no interest.
• The Company reserves the right to freeze or withhold funds if fraudulent activity, policy violations, or suspicious behavior is detected.

5. Ad Account Usage & Policies

• Ad accounts provisioned through Adpion remain the property of the Company and its upstream media agency partners.
• You are granted a limited, non-exclusive, non-transferable license to use the assigned ad accounts solely for lawful advertising purposes.
• You must comply with all applicable advertising policies of the respective platform (Meta, Google, TikTok, etc.).
• The following activities are strictly prohibited and may result in immediate account termination without refund:
  • Promoting illegal products or services
  • Running misleading, deceptive, or fraudulent advertisements
  • Violating intellectual property rights of third parties
  • Engaging in arbitrage, cloaking, or policy circumvention
  • Reselling or subletting ad accounts to third parties
  • Any activity that violates local, national, or international laws
• The Company is not responsible for ad account bans, restrictions, or policy enforcement actions taken by the advertising platform itself.

6. Spending & Billing

• Ad spend is deducted from your account balance in real-time based on platform-reported consumption data.
• Spending data is synchronized from upstream providers and may experience delays of up to 24 hours.
• You are responsible for monitoring your own ad spend. The Company does not guarantee spending alerts or automatic stoppage.
• In case of discrepancies between platform-reported spend and our records, the upstream provider's data shall prevail.
• Overspending beyond your available balance may result in negative balance, which you are obligated to settle immediately.

7. Refund Policy

• General rule: All payments are non-refundable.
• Refunds may be considered only in cases where the Company demonstrably fails to deliver the agreed-upon service due to an internal error.
• Refund requests must be submitted within 7 calendar days of the disputed transaction via official support channels.
• Refunds are processed at the Company's sole discretion. Approved refunds will be returned via the original payment method, less any applicable fees and platform-incurred costs.
• No refund will be issued for: ad account bans or restrictions by platforms, spending already consumed on advertising, policy violations by the user, or force majeure events.
• Chargebacks or payment disputes initiated without prior coordination with the Company will result in immediate account termination and potential legal action to recover losses.

8. Limitation of Liability

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
• The Company's total aggregate liability for any claim arising from the use of the Service shall not exceed the amount you have paid to us in the 30 days preceding the claim.
• The Company is not liable for any third-party platform's actions, including but not limited to account suspensions, policy changes, ad rejections, or service interruptions.
• The Company is not responsible for losses resulting from cryptocurrency transactions, including but not limited to sending funds to incorrect wallet addresses, blockchain network failures, or exchange rate fluctuations.

9. Indemnification

You agree to indemnify, defend, and hold harmless ADPION CO. LTD, its officers, directors, employees, agents, and partners from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including advertising platform policies
• Any content or advertisements you create, publish, or distribute using the Service

10. Intellectual Property

All content, trademarks, logos, software, and materials on the Adpion platform are the exclusive property of ADPION CO. LTD. You may not reproduce, distribute, modify, or create derivative works without prior written consent.

11. Account Termination

• The Company may suspend or terminate your account at any time, with or without cause, with or without notice.
• Upon termination, any remaining balance may be forfeited if termination results from a violation of these Terms.
• You may request to close your account by contacting support. Remaining balances (if eligible) will be refunded minus any outstanding fees or pending charges within 30 business days.

12. Dispute Resolution

• Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
• If negotiation fails, disputes shall be submitted to binding arbitration administered under the rules of the Hong Kong International Arbitration Centre (HKIAC).
• The arbitration shall be conducted in English, in Hong Kong. The arbitral award shall be final and binding on both parties.
• You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

14. Modifications

The Company reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.
